Rewired Mind Event Waiver

In Person Event Waiver: In consideration of my approved attendance at Event (the “EVENT”), I (PARTICIPANT) hereby acknowledge and agree:

  1. MEDIA CAPTURE – PHOTOS, VIDEO, AUDIO, ONLINE IMPRESSIONS: 

    1. I acknowledge and agree that DASH ENTERPRISES, INC (“DASH”) and its officers, employees, agents, and assigns may take photographs, videos, screenshots, audio captures or other media impressions (collectively, “IMPRESSIONS”) which could include audio, video or still images of me, or of my thoughts and impressions during and after the EVENT. I hereby consent and grant to DASH and it’s subsidiaries and affiliates, the unrestricted, irrevocable, perpetual worldwide, royalty-free and transferable right and license to use (and grant others the right to use), adapt, change and otherwise exploit the IMPRESSIONS worldwide in any medium without any compensation. I acknowledge that DASH is the sole and exclusive owner of all rights in the IMPRESSIONS and I hereby waive 

      1. any and all rights in and to such IMPRESSIONS, and

      2. any and all claims I may have related to or arising from the IMPRESSIONS or their use. 

    2. I agree I will not display any virtual background that includes any image or logo that I do not own. If I own an image or logo that I display as part of a background, I hereby grant DASH all rights and licenses to use said image and/or logo captured as part of the IMPRESSIONS as otherwise permitted hereunder.

    3. I give consent to participate in the Bio-Well scan during the event and understand that the data and results collected are the property of Dr. Rewire and may be used for educational or internal purposes.

  2. PARTICIPANT RESPONSIBLITIES: 

    1. ADULT EVENT: This is an adult event. During the EVENT, adult topics and situations relating to personal and professional growth will be discussed and there is occasional use of adult or profane language.  By attending, I agree that I am over the age of 18. If I am the parent or guardian of a minor between 15 and 17 years of age, I confirm that I will accompany the minor during the entirety of the EVENT. DASH does not permit those under the age of 15 to attend this EVENT. PARTICIPANTS who are uncomfortable with adult topics or language should not attend the EVENT and will not receive a refund based on an offense to adult topics or language under any circumstances.  

    2. I certify that I do not have any mental, physical, or other condition or disability that would impair my ability to attend the EVENT safely. I further certify that I will not consume any alcoholic beverages, illegal substances, medications or any other drug or substance that may impair in any way my ability to safely attend the EVENT.

  3. PERSONAL RESPONSIBILITY and DUE DILIGENCE: 

    a. I, PARTICIPANT acknowledge and agree to take full responsibility for my life, mental and physical wellbeing and financial matters and all decisions made during and after the EVENT. I voluntarily agree to assume all risks and responsibility for any injury or accident which might occur to me during the EVENT. I am aware of my physical and mental limitations and agree not to exceed them.

    b. I, PARTICIPANT, agree that I am solely responsible for doing my own evaluation and consideration when it comes to making business and financial decisions or mental and physical health decisions, and will consider and evaluate all information, products, and services that have been provided by DASH or at the EVENT with independent verified qualified professionals including my accountant, lawyer, doctor, or other qualified health care professionals or professional advisors, before acting on this or any information. I agree that DASH is not responsible for the success or failure in my life or of my business relating to any information presented at the EVENT or elsewhere by DASH or other third parties, or DASH’s products or services.

  4. DISCLAIMERS: 

    1. NO WARRANTIES: DASH expressly disclaims any representations or warranties of any kind, express or implied, including without limitation, warranties of reliability, usefulness, merchantability, fitness for a particular purpose, and non-infringement. We make no representation or warranty as to the accuracy, timeliness, completeness, reliability, or accessibility of information presented at the EVENT, through the use of our services, website or third-party sites.

    2. NOT MEDICAL ADVICE: NO INFORMATION, MATERIALS, ADVICE, TESTING, SUGGESTIONS, OR OTHER CONTENT PROVIDED BY DASH, INCLUDING THAT FROM THIRD PARTIES, IS INTENDED TO BE MEDICAL ADVICE, DIAGNOSES, TREATMENT RECOMMENDATIONS, OR PRESCRIPTIONS, NOR IS IT INTENDED TO BE A SUBSTITUTE FOR THE SAME. ALOK TRIVEDI IS NOT A MEDICAL DOCTOR.  PARTICIPANT SHOULD CONSULT WITH A LICENSED HEALTHCARE PRACTITIONER BEFORE USING ANY PRODUCT, IDEA OR CONCEPT DISCUSSED AT THE EVENT, AND WHEN MAKING DECISIONS REGARDING MEDICATIONS, TREATMENT, DIET, EXERCISE, SUPPLEMENTATION OR OTHER CARE, OR IF PARTICIPANT HAS OR SUSPECTS THEY HAVE A HEALTH CONDITION THAT REQUIRES MEDICAL ATTENTION. DO NOT USE INFORMATION OBTAINED FROM DASH, ALOK TRIVEDI OR A THIRD-PARTY SITE FOR EMERGENCY MEDICAL NEEDS. IF YOU EXPERIENCE A MEDICAL EMERGENCY, CALL 911 OR ANOTHER EMERGENCY TELEPHONE NUMBER AVAILABLE IN YOUR GEOGRAPHIC LOCATION. 

    3. NOT FINANCIAL ADVICE: NO INFORMATION, MATERIALS, ADVICE, TESTING, SUGGESTIONS, OR OTHER CONTENT PROVIDED BY DASH, INCLUDING THAT FROM THIRD PARTIES, IS INTENDED TO BE FINANCIAL ADVICE OR RECOMMENDATIONS, NOR IS IT INTENDED TO BE A SUBSTITUTE FOR THE SAME. PARTICIPANT SHOULD NEVER DISREGARD PROFESSIONAL FINANCIAL ADVICE OR AVOID OR DELAY SEEKING FINANCIAL ADVICE BECAUSE OF ANY INFORMATION, MATERIALS, ADVICE OR OTHER CONTENT PROVIDED BY DASH, ALOK TRIVEDI, OR BECAUSE OF SOMETHING HEARD OR EXPERIENCED THROUGH THE EVENT. ALOK TRIVEDI IS NOT A LICENSED FINANCIAL PROVIDER OR EXPERT.  PARTICIPANT SHOULD CONSULT WITH A LICENSED FINANCIAL PROVIDER OR EXPERT BEFORE USING ANY PRODUCT, IDEA OR CONCEPT DISCUSSED AT THE EVENT, AND WHEN MAKING DECISIONS REGARDING INVESTMENTS, SAVINGS, TAX PLANNING, RETIREMENT STRATEGIES, AND OVERALL WEALTH MANAGEMENT TO OPTIMIZE PARTICIPANT’S FINANCIAL HEALTH AND ACHIEVE THEIR LONG-TERM FINANCIAL GOALS.  

    4. NO GUARANTEES TO SUCCESS: The EVENT will include presentations about personal and income growth opportunities. DASH has taken every effort to ensure accurate representation of the EVENT and its potential to help you grow your life and business. Any forward-looking statements outlined at the EVENT are simply DASH’S expectation or forecasts for future potential, and are simply our opinion, and are not guarantees or promises for actual performance. The definition of “Success” is highly personal and individual to each PARTICIPANT. PARTICIPANT’S level of “Success” in attaining results is dependent upon several factors including PARTICIPANT’S skill, knowledge, ability, dedication, business savvy, and financial situation. Because these factors differ according to individuals, DASH does not and cannot guarantee PARTICIPANT’S results, success, income level, or ability to earn revenue. PARTICIPANT understands that past results by other individuals is not an indication of PARTICIPANT’S ability to attain any particular result. DASH specifically does not guarantee or imply that PARTICIPANT will get rich or will make any money at all. DASH’S recommendations or products may have unknown risks involved, and are not suitable for everyone. Making decisions based on any information presented by DASH should be done only with the knowledge that PARTICIPANTS could make no money at all.  IF YOU RELY ON ANY INFORMATION, ADVICE, TESTING, MATERIALS OR OTHER CONTENT PROVIDED BY DASH, ALOK TRIVEDI OR A THIRD PARTY WEBSITE, YOU DO SO SOLELY AT YOUR OWN RISK.   5. LIMITATION OF LIABILITY

    1. I ACKNOWLEDGE THAT MY PARTICIPATION IN ANY EVENT IS SOLELY AT MY OWN RISK AND I VOLUNTARILY ASSUME ANY AND ALL RISKS ASSOCIATED WITH MY PARTICIPATION IN ANY SUCH EVENT. I, ON BEHALF OF MYSELF AND MY SUCCESSORS, ASSIGNS, HEIRS, AND ESTATE (COLLECTIVELY, “SUCCESSORS”), HEREBY UNCONDITIONALLY AND FOREVER RELEASE, DISCHARGE AND AGREE TO HOLD HARMLESS DASH AND ITS AFFILIATES AND SUBSIDIARIES, ALONG WITH EACH OF THEIR MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND CONTRACTORS (COLLECTIVELY, “RELEASED PARTIES”), FROM ANY AND ALL CLAIMS, ACTIONS, DEMANDS, JUDGMENTS, COSTS, DAMAGES, LOSSES, EXPENSES AND LIABILITIES OF EVERY KIND AND NATURE WHATSOEVER RELATING TO ANY CLAIM I MAY NOW OR HEREAFTER HAVE WITH RESPECT TO ANY DEATH, PERSONAL INJURY, PROPERTY DAMAGE, PECUNIARY LOSS (INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST SALES, BUSINESS LOSSES OR INTERRUPTION, DATA LOSSES, LOSS OF GOODWILL) AND/OR OTHER TYPE OF DIRECT OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE LOSS, DAMAGE, COST OR EXPENSE THAT MAY BE SUFFERED BY ME OR ANY THIRD PARTY AS A RESULT OF a) MY ATTENDANCE AT THE EVENT, b) ANY USE BY DASH AND/OR ITS SUBSIDIARIES OR AFFILIATES OF MY NAME OR VISUAL LIKENESS, OR c) ANY OTHER ACTION OR INACTION BY ME IN CONNECTION WITH MY PARTICIPATION IN ANY EVENT, REGARDLESS OF WHETHER SUCH PARTY HAS BEEN ADVISED OF THE POSSIBLITY OF OR COULD HAVE FORESEEN SUCH DAMAGES.

    2. Notwithstanding anything to the contrary in this Agreement, DASH’S aggregate liability to PARTICIPANT or any third party arising out of this Agreement shall in no event exceed the charges paid by PARTICIPANT to attend the EVENT giving rise to such liability. PARTICIPANT acknowledges and agree that the essential purpose of this section 4.b. is to allocate the risks under this Agreement between the parties and limit potential liability, given the EVENT charges, which would have been substantially higher if DASH were to assume more liability than as set forth herein. DASH has relied on these limitations in determining whether to provide PARTICIPANT with the rights to access this EVENT and use the services provided for in this Agreement. 

    3.  Any claims or damages that PARTICIPANT may have against DASH shall only be enforceable against DASH or its officers, directors, representatives or agents, nor not any other entity or its officers, directors, representatives or agents.

  6. INDEMNIFICATION:

    a.   PARTICIPANT shall indemnify and hold DASH harmless against any claim brought by a third party against DASH arising from or related to PARTICIPANT’S use of DASH’S materials, unlicensed or otherwise, in breach of this Agreement or for matters for which PARTICIPANT has expressly agreed to be responsible for pursuant to this Agreement, provided that DASH promptly notifies PARTICIPANT of the threat or notice of such claim and that DASH fully cooperates with PARTICIPANT in connection with defense of the claim.

    b. PARTICIPANT shall have sole and exclusive control and authority to select defense attorneys and defend and/or settle any such claim; however, PARTICIPANT shall not settle or compromise any claim that results in liability or admission of any liability by DASH without DASH’S prior written consent.

  7. INTELLECTUAL PROPERTY AND CONFIDENTIALITY NOTICE: The materials and resources used at the EVENT are the confidential and exclusive, copyrighted, trademarked and the proprietary intellectual property of DASH. These materials are provided to PARTICIPANT by DASH and are solely intended for PARTICIPANT’S personal use at the Event only. No part of these documents and/or resources can be stored, reproduced or transmitted in any form or by any means (electronic, photographic, mechanical, or any other medium), recorded, translated, or used to produce any derivative works without the explicit written permission of DASH, under signature. 

  8. ATTORNEY’S FEES: Any violation, or the likelihood of violating, any of the terms in this Agreement would entitle DASH to injunctive relief or other relief to prohibit any such violations. PARTICIPANT expressly agrees that, in the event of any action to enforce the terms and conditions of this Agreement, the prevailing party in the action will recover, in addition to any other sum that either party may be called upon to pay, reasonable attorney’s fees and costs from the non-prevailing party. DASH shall be deemed the prevailing party if it is awarded any part of the legal or equitable relief it seeks, irrespective of whether some of the relief it seeks is denied or modified.

  9.  This Agreement shall be governed by, construed and enforced in accordance with the laws of the State of Illinois without giving effect to any conflict of laws principles. If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions will continue to be fully effective. The jurisdiction and venue for any disputes arising under, or any action brought to enforce (or otherwise relating to), this Agreement or my participation in the EVENT will be exclusively in the courts in the State of Illinois, County of McHenry, including the Federal Courts located therein (should Federal jurisdiction exist). 

  10. This Agreement shall inure to the benefit of and be binding upon the parties and their successors, assigns, heirs, executors, and legal representatives. 

  11. The waiver or the breach of any term or provision of this Agreement shall not operate as or be construed to be a waiver of any other term or subsequent breach of this Agreement. This Agreement contains the entire agreement and understanding of the parties relating to the subject matter herein, and supersedes all prior and contemporaneous discussions, agreements and understandings of every nature between the parties relating to the Event. This Agreement may not be changed or modified, except by an Agreement in writing signed by each of the parties hereto.
